1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, the user (“User” or “You”), and Innospace Infotech Ltd. (“Company,” “We,” “Us,” or “Our”), a company incorporated under the laws of Bangladesh, governing your access to and use of the brritto mobile application and all associated services and products (collectively, the “Platform” or “Services”). The Platform provides both digital educational courses and physical book purchases through brritto Shop.

By accessing, downloading, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the accompanying Privacy Policy. If you do not agree, you must immediately cease all use of the Platform.

1.1 Legal Framework

These Terms are published and construed in accordance with the laws of the People’s Republic of Bangladesh, including but not limited to the Cyber Security Act 2023, the Consumer Rights Protection Act 2009, and the Digital Commerce Policy/Guidelines issued by the Ministry of Commerce, as amended from time to time. These Terms constitute an electronic record under applicable laws of Bangladesh.

2. Definitions

"Company" – Innospace Infotech Ltd., the owner and operator of the Platform.
"Platform" – The brritto mobile application and all associated services, products, and content.
"User" – Any person who accesses or uses the Platform, including registered and unregistered users.
"Services" – The educational information, resources, tools, courses, shop functionality, and all other features provided by the Platform.
"Digital Content" – All digital courses, MCQ quizzes, study materials, subscriptions, and other digital goods purchased or accessed through the Platform.
"brritto Shop" – The physical goods storefront integrated within the Platform, through which Users may purchase physical books and related educational materials.
"brritto Integrated Books" – Physical educational books published in partnership with the Company that include a unique QR code for unlocking corresponding digital courses on the Platform.
"Content" – All information, data, text, software, graphics, video, or other materials available on the Platform.
"User Content" – Any content uploaded, posted, or transmitted by a User on the Platform.
"Proprietary Information" – All data, content, trademarks, service marks, domain names, trade names, and trade secrets owned by the Company.

3. Eligibility, Account & Security

3.1 Eligibility

The Services are available only to persons who can form legally binding contracts under the laws of Bangladesh. By using the Platform, you represent that you are at least 18 years of age or are using the Platform with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

3.2 Account Registration and Security

You agree to provide accurate, current, and complete information during the registration process.
You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account.
You agree to immediately notify the Company of any unauthorized use of your account or any other breach of security.
Account access is personal and non-transferable.

3.3 Security Measures

The Company takes reasonable steps to protect your information using industry-standard security practices including secure servers, encryption, and access controls. However, no security system is impenetrable, and you are responsible for your own account security precautions.

3.4 Data Collection and Consent

By creating an account and using the Services, you explicitly acknowledge and consent that the Company collects, stores, and processes your personal data (including name, contact details, device information, order information, and academic performance) as described in our Privacy Policy. This data collection is necessary for the proper functioning of the Platform.

PART A — Digital Courses & Content

4. Digital Course Access and Usage License

4.1 Course Enrollment via brritto Integrated Books

Access to specific digital courses may be granted through a unique QR code provided within a purchased brritto Integrated Book.

Activation: You must use the in-app QR scanner to activate the course linked to your physical book.
Single-User License: The QR code grants a non-exclusive, non-transferable, single-user license to access the corresponding digital course.
Non-Transferability: Course access is linked to your brritto account upon activation and cannot be transferred, sold, or shared with any other person.
Duration: The license is valid for the period indicated at the time of activation or on the physical book itself.

4.2 In-App Purchases of Digital Content

The Platform also offers digital courses, content, and subscriptions available for direct purchase within the App:

Android: All in-app purchases are processed through Google Play Billing in compliance with Google Play’s payments policy.
iOS: All in-app purchases are processed through the Apple App Store in compliance with Apple’s billing requirements.
No Direct Payment Collection: brritto does not collect payment card details directly for digital goods. All transactions are securely handled by the respective platform.

4.3 Commercial Use Restriction

Your use of the Platform and digital content is solely for personal, non-commercial purposes. You may not use the Platform for any commercial purpose without express prior written consent from the Company.

4.4 Defective QR Code or Digital Access

If a QR code or manual key is found to be invalid, already used, or non-functional upon the first activation attempt, you must immediately report the issue to support@brritto.com with proof of purchase. Upon verification, the Company will, at its sole discretion:

Provide a replacement valid QR code or manual key for the corresponding course, or
Grant manual access to the corresponding course on your account.

Once a valid QR code has been successfully activated and access has been granted, the digital course access is considered consumed and is non-refundable. Please visit our Privacy Policy for full details.

PART B — Physical Books (brritto Shop)

5. brritto Shop — Physical Book Orders

5.1 Nature of Service

brritto Shop is an integrated feature within the Platform that allows Users to browse, order, and purchase physical books and educational materials. No separate account registration is required to place a shop order. Order information is collected solely for fulfillment purposes.

5.2 Order Process

By placing an order through brritto Shop, you agree that:

All information provided (name, phone number, shipping address) is accurate and complete.
You authorize the Company to contact you for order confirmation and delivery coordination.
Orders may be confirmed via phone call or SMS, and may be cancelled if verification fails or information is found to be incorrect.

5.3 Pricing and Availability

All prices are listed in BDT (৳).
Prices may change at any time without prior notice.
In the event of a pricing error, the Company may cancel the affected order or contact you before proceeding.
Product availability is subject to stock conditions.

5.4 Payment Terms

Cash on Delivery (COD)

The primary payment method for brritto Shop orders is Cash on Delivery. Payment must be completed at the time of delivery.

Prepayment (Where Applicable)

Advance payment may be required in certain cases, including high-value orders or accounts with a history of order cancellations or delivery refusals.

⚠️ Note: Prepayments may be non-refundable in cases of change of mind, refusal to accept delivery, or violation of our Refund Policy.

5.5 Shipping and Delivery

Delivery typically takes 3–5 business days. Timelines are estimates and may vary.
Delays may occur due to logistics, weather, or other external factors beyond our control.
Customers must be available to receive their order. Failure to receive delivery may result in order cancellation.

5.6 Returns, Refunds & Replacements

Returns, refunds, and replacements for physical book orders are governed by our Return, Replacement & Refund Policy. Key principles:

Only damaged, defective, or incorrectly fulfilled products are eligible.
A change of mind or personal preference is not an acceptable reason for return.
All claims must follow the defined process within the applicable time window.

6. User Obligations and Prohibited Conduct

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Platform by, any third party.

6.1 Prohibited Content

You shall not host, display, upload, modify, publish, transmit, or share any information that:

Is false, deceptive, illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
Violates the Cyber Security Act 2023 or any other applicable law of Bangladesh.
Infringes any patent, trademark, copyright, or other proprietary rights of any party.
Impersonates another person or entity.
Contains malware, viruses, or any code designed to interrupt, destroy, or limit the functionality of any computer resource.
Threatens the unity, integrity, defence, security, or sovereignty of Bangladesh or public order.

6.2 Prohibited Actions

You must not:

Attempt to reverse engineer, decompile, or disassemble any portion of the Platform or digital course content.
Share, sell, or distribute QR codes provided in brritto Integrated Books to unauthorized third parties.
Remove any copyright, trademark, or other proprietary notices from the Platform.
Attempt to gain unauthorized access to any portion of the Platform or any connected systems or networks.
Provide false or misleading information, or abuse the ordering system (e.g., placing fake orders).
Copy, reproduce, or distribute Platform content without permission.
Attempt to hack, disrupt, or reverse-engineer any part of the Platform or brritto Shop.

7. Intellectual Property Rights

7.1 Company’s Proprietary Information

All Proprietary Information (including all Content, trademarks, trade secrets, and domain names) is owned by the Company and may not be copied, downloaded, reproduced, altered, republished, transmitted, or distributed without prior written consent.

The Company retains all intellectual property rights to digital content, even if you own the physical medium (e.g., a brritto Integrated Book) that grants access to it.

7.2 User Content and Feedback

User Content: By submitting any User Content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media.
Feedback: Any feedback or suggestions you provide regarding the Platform are considered non-confidential and non-proprietary. The Company is free to use such feedback without any obligation to compensate you.

8. Payments and Fees

8.1 Digital Content

In-app purchases of digital courses and subscriptions are processed through Google Play Billing (Android) or the Apple App Store (iOS). You agree to pay all applicable fees and charges at the rates in effect at the time of purchase, including any applicable taxes.

8.2 Physical Orders

Prices for physical books are listed in BDT and are subject to change. Payment is made at delivery (COD) or in advance where required. The Company reserves the right to cancel orders with pricing errors.

8.3 Refunds

All refund, return, and cancellation matters are governed by our separate Refund, Return & Cancellation Policy, which forms part of these Terms.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company makes no warranty that the Services will be uninterrupted, timely, secure, or error-free.

9.2 Limitation of Liability

In no event shall the Company, its officers, directors, employees, or agents be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any loss of profits or data, arising from your use of the Platform — even if the Company has been advised of the possibility of such damages.

The Company shall not be liable for delivery delays beyond its control, losses arising from incorrect user-provided information, or indirect damages from third-party logistics.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, consultants, and agents from any and all third-party claims, liability, damages, and costs (including reasonable attorney’s fees) arising from:

Your access to or use of the Platform.
Your violation of these Terms.
Your infringement of any intellectual property or other right of any person or entity.
Your User Content.
Your misuse of brritto Shop, including providing false information or abusing the ordering system.

11. Termination

11.1 Termination by User

You may terminate your account at any time through either of the following methods:

Option 1: In-App Deletion

Open the brritto App.
Go to Settings → Account Settings.
Select “Delete My Account” and confirm your request.

Option 2: Email or Web Request

Email: Send “Account Deletion Request” to support@brritto.com with your registered phone number or email.

Important consequences of termination:

Loss of Access: You will permanently lose access to all active courses, content, and features associated with your account.
Forfeiture of License: Any QR code previously activated on this account will be permanently invalidated and cannot be reactivated on a new or different account.
60-Day Grace Period: Your account will enter a 60-day “Pending Deletion” period. Logging in within this period automatically cancels the deletion and fully restores all data. After 60 days of inactivity, permanent deletion occurs.
Post-Deletion: Your quiz history, progress, and performance data are permanently deleted. Only your phone number and account duration are retained for legal and operational record-keeping. Upon re-registration, you are treated as a completely new user.

11.2 Termination by Company

The Company may, at its sole discretion, suspend or terminate your access to the Platform without prior notice if we believe you have violated these Terms or if we are required to do so by law. In the case of brritto Shop, the Company reserves the right to cancel suspicious orders or restrict service to users who misuse the platform.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh.

12.2 Jurisdiction

Subject to the arbitration clause below, you agree to submit to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

12.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Arbitration Act 2001 (Bangladesh). The arbitration shall be conducted by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be Dhaka, Bangladesh, and the language shall be English.

13.2 Redressal Commitment

The designated contact shall acknowledge your complaint and endeavor to resolve it in a timely and fair manner in accordance with the Company’s internal policies and applicable laws of Bangladesh. We aim to respond to all inquiries within 7 business days.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with the Privacy Policy and Refund, Return & Cancellation Policy, constitute the entire agreement between you and the Company concerning your use of the Platform.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14.3 Cookies

The Platform may use cookies to improve user experience and functionality. You may disable cookies in your device settings, though some features may not work correctly as a result.

14.4 Third-Party Links

The Platform may contain links to external websites. The Company is not responsible for the content, accuracy, or privacy practices of third-party sites. Use them at your own risk.

15. Updates to These Terms

The Company reserves the right to update or modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on the Platform, sending an email notification, or displaying an in-app notice. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms.
