1. Introduction and Acceptance of Terms

These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you, the user ("User" or "You"), and Innospace Infotech Ltd. ("Company," "We," "Us," or "Our"), a company incorporated under the laws of Bangladesh, governing your access to and use of the brritto mobile application, website, and any associated services or products (collectively, the "Platform" or "Services").

By accessing, browsing, downloading, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and the accompanying Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must immediately cease all use of the Platform.

1.1 Legal Framework and Governing Law

These Terms are published and shall be construed in accordance with the laws of the People's Republic of Bangladesh, including but not limited to the Cyber Security Act, 2023, the Consumer Rights Protection Act, 2009, and the Digital Commerce Policy/Guidelines issued by the Ministry of Commerce, as amended from time to time. These Terms constitute an electronic record under the applicable laws of Bangladesh.

2. Definitions

• Company: Innospace Infotech Ltd., the owner and operator of the Platform.

• Platform: The brritto mobile application, website, and all associated services, products, and content.

• User: Any person who accesses or uses the Platform, including registered and unregistered users.

• Services: The educational information, resources, tools, courses, and functionalities provided by the Platform.

• Content: All information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available on the Platform.

• User Content: Any Content uploaded, posted, submitted, or otherwise transmitted by a User on the Platform.

• Proprietary Information: All Data, Content, Trademarks, Service Marks, Domain Name, Trade Names, and Trade Secrets owned by the Company.

• brritto Integrated Books: Refers collectively to the physical educational books, such as the Lecture Publications Ltd. Book, that are published in partnership with the Company and include a unique QR code or manual key for accessing digital courses and features on the Platform.

3. Eligibility, Account, and Security

3.1 Eligibility

The Services are available only to persons who can form legally binding contracts under the laws of Bangladesh. By using the Platform, you represent and warrant that you are at least eighteen (18) years of age and are otherwise competent to enter into a binding agreement. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

3.2 Account Registration and Security

• You agree to provide accurate, current, and complete information during the registration process.

• You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account.

• You agree to immediately notify the Company of any unauthorized use of your password or account or any other breach of security.

• Accessing our Services via registration is not transferable.

3.3 Security Measures

The Company takes reasonable steps to protect your information from unauthorized access, use, or disclosure. We utilize industry-standard security practices and procedures, including but not limited to, secure servers, encryption, and access controls. However, you acknowledge that no security system is impenetrable, and you are responsible for taking your own precautions to ensure the security of your account and personal information.

3.4 Data Collection and Consent

Acknowledgment: You explicitly acknowledge and agree that the Company collects, stores, and processes your personal data (including but not limited to your name, contact details, device information, and academic performance/quiz history) as strictly described in our Privacy Policy.

Service Necessity: You understand that the collection of this data is necessary for the proper functioning of the Platform (e.g., generating leaderboards, and verifying license keys).

Consent: By creating an account and using the Services, you provide your informed consent to such data processing.

4. Course Access and Usage License

4.1 Course Enrollment via brritto Integrated Physical Books

The brritto Platform is connected with the Lecture Publications Ltd.. Access to specific digital courses and associated features (including MCQ quizzes) is granted through a unique QR code or manual key provided within the purchased physical Lecture Book.

• Activation: You must use the scan feature in the brritto app (QR code scan or manual entry) to activate the course linked to your Physical Book.

• Single-User License: The QR code/manual key grants a non-exclusive, non-transferable, single-user license to access the corresponding digital course on the Platform.

• Non-Transferability: The course access is linked to your brritto account upon activation and cannot be transferred, sold, or shared with any other person.

• Duration: The license for the digital course access is valid for a specific period, as indicated at the time of activation or on the Physical Book itself.

4.2 Services and Products

The Platform offers users access to compiled educational information and associated resources. While we strive to present the most up-to-date information, we are not liable for its accuracy, completeness, usability, or current relevance. The Services are provided on an "as is" and "as available" basis.

4.3 Commercial Use Restriction

Your use of our Products, Website, Application, and Services is solely for your personal and Non-Commercial use. You may not use the Platform for any commercial purpose without the express prior written consent of the Company.

5. User Obligations and Prohibited Conduct

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Platform by, any third party.

5.1 Prohibited Content (Cyber Security Act Context)

You shall not host, display, upload, modify, publish, transmit, store, update or share any information that:

• is false, deceptive, illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

• violates the provisions of the Cyber Security Act, 2023 or any other applicable law of Bangladesh;

• infringes any patent, trademark, copyright, or other proprietary rights of any party;

• impersonates another person or entity;

• contains software viruses, worms, Trojan horses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource;

• threatens the unity, integrity, defence, security, or sovereignty of Bangladesh, friendly relations with foreign states, or public order.

5.2 Prohibited Actions

You must not:

• Attempt to reverse engineer, decompile, or disassemble any portion of the Platform or the digital course content.

• Share, sell, or distribute the unique QR code/manual key provided in the brritto integrated books to unauthorized third parties.

• Remove any copyright, trademark, or other proprietary notices from the Application, Website, or Services/Products.

• Attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform.

6. Intellectual Property Rights

6.1 Company's Proprietary Information

All Proprietary Information (including all Content, Trademarks, and Trade Secrets) are owned by the Company.

• This Proprietary Information cannot be copied, downloaded, reproduced, altered, republished, uploaded, posted, transmitted, or distributed without prior written consent from the Company.

• The Company retains complete ownership and all intellectual property rights of the Content or materials, even if you own the medium (e.g., brritto integrated books) that grants access to the digital content.

6.2 User Content and Feedback

• User Content: By submitting any User Content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

• Feedback: Any feedback, comments, or suggestions you provide regarding the Platform will be considered non-confidential and non-proprietary. The Company is free to use such Feedback on an unrestricted basis, without any obligation to compensate you.

7. Payments, Fees, and Refunds

7.1 Fees and Charges

Access to the digital courses is primarily granted through the purchase of a physical Book. You agree to pay all fees and charges incurred in connection with your account, including applicable taxes, at the rates in effect when the charges were incurred.

7.2 Refund and Defective Access Policy

Since course access is tied to the purchase of a physical Book, refunds for the book itself are governed by the return policy of the Book publisher/seller. However, in compliance with the spirit of the Consumer Rights Protection Act, 2009, the Company provides a specific remedy for defective digital access:

• Defective Access Mechanism: If a User purchases a physical Book and the associated QR code or manual key is found to be invalid, already used, or otherwise non-functional upon first attempt at activation, the User must immediately report the issue to the Company's support team at support@brritto.com or the designated Grievance Officer.

• Remedy: Upon verification of the defect (which may require the User to provide proof of purchase and the defective code), the Company will, at its sole discretion, either:

1. Provide a replacement, valid QR code/manual key for the corresponding course or

2. Grant manual access to the corresponding course on the User's account.

• General Refund Policy: Once a valid QR code/manual key has been successfully activated and the User has gained access to the digital course, the digital course access is considered consumed and is non-refundable. Claims regarding the quality of the digital content must be submitted to the Company, and any further remedy will be granted solely at the Company's discretion. This policy is without prejudice to the User's rights under the Consumer Rights Protection Act, 2009, regarding the physical book purchase.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company makes no warranty that the Services will be uninterrupted, timely, secure, or error-free.

8.2 Limitation of Liability

In no event shall the Company, its officers, directors, employees, or agents, be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any loss of profits or data, arising from your use of the Platform, even if the Company has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, consultants, and agents from any and all third-party claims, liability, damages, and/or costs (including, but not limited to, reasonable attorney's fees) arising from:

• Your access to or use of the Platform.

• Your violation of these Terms.

• Your infringement of any intellectual property or other right of any person or entity.

• Your User Content.

10. Termination

10.1 Termination by User

You may terminate your account at any time by

Option 1: In-App Deletion

1. Open the brritto App.

2. Go to Settings → Account Settings.

3. Select "Delete My Account".

4. Confirm your request.

Option 2: Email/Web Request

• Email Request: Send an email to support@brritto.com with the subject line "Account Deletion Request" and include your registered email address or phone number.

Important Consequence of Termination: By terminating your account, you acknowledge and agree that:

• Loss of Access: You will permanently lose access to all active courses, contents, and features associated with your account.

• Forfeiture of License: Any QR code or manual key previously activated on this account will be permanently invalidated. You will not be able to reactivate the same QR code on a new or different account, as the license is non-transferable.

• Data Deletion and Retention Policy: Upon your request for account deletion, your account will enter a 60-day grace period marked as "Pending Deletion." If you log in within this 60-day period, the deletion process will be automatically canceled, and all data (progress, learning, etc.) will be fully restored. After 60 days of inactivity, a permanent (hard) deletion will occur. Upon permanent deletion: 

• Your quiz history, progress streaks, and performance data will be permanently deleted and cannot be recovered.

• We will retain only your phone number and the duration your account was active for necessary legal and operational record-keeping.

• We will not store any other personal information about the user. Upon re-registration, you will be treated as a new user with no previous data recovered.

10.2 Termination by Company

The Company may, at its sole discretion, suspend or terminate your access to the Platform and Services, without prior notice, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms, or if we are required to do so by law.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.

11.2 Jurisdiction

Subject to the arbitration clause below, you agree to submit to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

11.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Arbitration Act, 2001 (Bangladesh). The arbitration shall be conducted by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be Dhaka, Bangladesh, and the language of the arbitration shall be English.

12. Grievance Redressal Mechanism

The Company is committed to addressing User grievances promptly and effectively.

12.2 Redressal Commitment

The designated contact person shall acknowledge the complaint and endeavor to resolve it in a timely and fair manner, in accordance with the Company's internal policies and the applicable laws of Bangladesh.

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and the Company concerning your use of the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14. Updates to the Terms

The Company reserves the right to update or modify these Terms at any time. We will notify you of any significant changes by posting the new Terms on the Platform or by sending you an email. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
